Governance

Make up of the Board of Trustees and Directors

Leicestershire Centre for Integrated Living is managed and controlled by disabled people. This means that all of our Trustees and our Directors are disabled people.

We also believe it is essential to involve disabled people from different sectors of society. Therefore, we have ensured that our written guidance (Our Articles of Association and Memorandum) sets out minimum numbers of different people to make up the Board. At any one time up to 15 disabled people may be elected.

The makeup of the board ensures that not more than eight men or eight women can be elected at any one time. The board also reserves at least 5 positions for disabled people and people from BME communities.

Each member of the Board is elected for a period of three years. We look to have a rolling programme of members, this means that each year a number of Board members are required to stand down. They may be elected again if they choose to stand.

Annual General Meeting

The annual general meeting takes place every September. Prior to the meeting, members are invited to put themselves or other members forward to stand for election. In the case of too many nominations being received, an election will be held and LCIL members are invited to vote for the person they feel will be most suitable in taking forward the organisation.

Development of the Board

Since September 2007, members of the Board have been undergoing a range of development events to increase their awareness and involvement in the work of the organisation. This has resulted in the development of two sub committees that are taking forward work in relation to Employment Issues and Health and Safety Issues.

The work also ensures that a detailed and supportive induction pack is available to new Directors and that information is available to members who may want to know more about the work of the Board.

Work is also underway to develop a long-term business plan that will set out the plans for the organisation. This work started two years ago when members of LCIL, visitors and users of our services where asked to identify the five key areas that they felt LCIL should concentrate on.

At the same time all current LCIL policies have been subjected to a full review and Board members have been heavily involved in ensuring that the policy remains central to the overall aim of the organisation.

This work has been planned to meet the needs of all Board members and ensures that ALL Board members are fully involved in the decision making process.

Relationships with the Management Team

It is true to say that no management team can operate at its optimum level without an effective Board. The same is true of the Board, the need for an effective management team is critical and work has taken place both to develop the management team and to increase the interaction between the Board and Management.

LCIL has invested considerable time and commitment in increasing the engagement of disabled people at a board level and will launch its new long term Business Plan at the next AGM.
